1. What Nado is
Nado is a freight-dispatch software service operated by NADO FM PTY LTD, ACN 701 783 931, ABN 32 701 783 931 (us, we), from Victoria, Australia. When you create an account you enter into an agreement with us to use that service on the terms below.
2. Who can use it
You must be at least 18 years old, authorised to bind the business you're signing up on behalf of, and using the service for a lawful freight, courier, or dispatch operation. One account per business — sharing sign-ins across separate businesses is not permitted.
3. Trial + subscription
New accounts get a free trial (currently 30 days). You won't be charged until your trial ends. If you don't upgrade to a paid tier before the trial ends, your account becomes read-only for a seven-day grace period, then locks. We keep your data, and you can always get it out. Your run sheet, fleet and audit records can be downloaded from the desktop cockpit at any time in CSV or JSON — including while your account is read-only, locked, or unpaid. We supply anything else on request within 30 days, and we delete it on request (and per the retention rules in section 9).
Paid tiers are billed monthly in advance, in Australian dollars, to the card you provide; payments are processed by Stripe. Prices are shown on the pricing page and include GST; we issue a tax invoice for every payment. We may change prices with at least 30 days' notice by email to account admins; changes take effect at your next renewal. If you don't accept a price change you can cancel before it takes effect and nothing further is charged.
Each plan includes a maximum number of vehicles: Starter up to 3, Standard up to 8 and Pro up to 25. Enterprise limits are as agreed with us in writing. If you need more vehicles than your plan allows, you'll need to move to a plan that covers them.
Refunds: because Nado is a monthly-recurring service you can cancel at any time and the current month runs out its remaining days. We don't pro-rate mid-month cancellations.
4. What you can't do
You agree not to (a) reverse-engineer or scrape the service; (b) use it to send unsolicited bulk email, SMS, or push notifications; (c) upload content that infringes another party's rights, is unlawful, or is designed to attack Nado or other tenants; (d) share sign-in credentials outside your business; (e) use the service to run a competing freight-dispatch platform on our infrastructure.
5. Your data, your customers
You own the freight items, contacts, addresses, photos, and transactional records you enter or upload to Nado. We hold them on your behalf so the service can operate. You can request export or deletion of your data at any time (see the Privacy Policy).
You are responsible for the accuracy of the data you enter and for your obligations to your own customers — pricing, delivery promises, GST invoicing, driver conduct. Nado is a tool; the business is yours.
6. Driver location tracking
Nado records the GPS location of your vehicles while a driver is signed in and on a run, and shows it to your dispatchers. Tracking stops when the driver ends their run or signs out, and location history is kept for 90 days (see the Privacy Policy).
Australian states regulate the tracking of workers and vehicles differently — some require written notice a set period before tracking starts, some require the driver's consent, some require a notice displayed in the vehicle. You are responsible for meeting the requirements that apply in every state your drivers work in, including telling each driver, before they first sign in, what is collected, when it starts and stops, and why. By enabling tracking for a driver you confirm you have done so. You must not use Nado to track anyone who is not working for your business.
Using Nado on the road. You are responsible for making sure your drivers use Nado lawfully and safely. Australian road rules restrict a driver's use of a mobile device while a vehicle is moving, and those rules differ between states. You must instruct your drivers not to interact with the Nado app while driving, other than through hands-free or CarPlay functions permitted where they are driving, and you are responsible for their compliance. Nado is a dispatch and record-keeping tool. It does not reduce your obligations as a transport operator, and it is not a substitute for your own safety policies.
7. Our platform, our IP
We own Nado — the software, the design, the brand and integrations. Signing up gives you a right to use the service; it does not transfer any of that IP to you. Third-party components used inside Nado (map tiles, Xero API, weather data, etc.) remain the property of their respective owners.
Services we don't control. Nado connects to third-party services, including Xero, mapping providers and weather data. Those services are operated by their providers, not by us. We are not responsible for their availability or accuracy, for changes they make, or for outages on their side. You remain responsible for checking that records created in your own accounting system are correct before you rely on them or send them to your customers.
8. Availability + limits
We work to keep Nado available, and we'll tell you in advance about planned maintenance where we can. We don't guarantee that the service will be uninterrupted or error-free — no software service can honestly say that — and we don't currently offer a service-level credit.
Location data. Location is collected from mobile devices and is approximate. Its accuracy depends on the device, mobile coverage and satellite conditions. It's there to help you run your fleet; it is not a certified record of where a vehicle was at a given moment, and it shouldn't be relied on as one.
Things outside the service. We're not responsible for failures caused by your own devices, your mobile coverage, your Xero account, or services operated by Apple, Google or other providers.
To the maximum extent permitted by law, our aggregate liability to you for any claim arising from your use of Nado is capped at the amount you paid us in the 12 months before the claim arose. We are not liable for loss of profits, loss of freight, or indirect losses. Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded.
9. Ending the agreement
You can close your account at any time by emailing us. We can suspend or close an account that materially breaches these terms; we will give you notice unless the breach is serious (e.g. an ongoing security incident).
When an account closes: paid-through periods are honoured, data can be exported for 30 days, and we delete it on request (per the Privacy Policy) — except for the tax records that Australian law requires us to keep (typically five years).
10. Governing law
These terms are governed by the laws of the State of Victoria, Australia.
If we disagree. Before either of us starts court proceedings, we'll try to sort it out: the party raising the dispute gives the other written notice describing it; we then have 21 days to resolve it in good faith between senior people on both sides; if that fails, we go to mediation through a recognised Victorian mediation service, sharing the mediator's costs equally. Only after that may either party commence proceedings, in the non-exclusive jurisdiction of the Victorian courts. None of this stops either of us seeking urgent injunctive relief at any time.
11. Changes to these terms
We may update these terms as Nado evolves. Material changes will be emailed to account admins at least 14 days before they take effect; if you don't accept a material change you can cancel before it takes effect. Non-material fixes (typos, structural cleanups) may go up without notice — the "Last updated" line above will always reflect the most recent revision.
12. General
Where your data is held. The servers that run Nado are located in Australia. Encrypted backups, and some of the providers we rely on to operate the service, are held or processed overseas — the Privacy Policy names them, and it forms part of these terms.
Security incidents. If we become aware of a security incident affecting your data, we'll tell you without undue delay and give you the information you need to meet your own notification obligations.
Events outside our control. Neither of us is in breach of these terms for a failure caused by something outside our reasonable control, including network or power failure, a third-party service outage, natural disaster, or government action. This doesn't excuse paying money that's owed.
If part of this doesn't hold. If any part of these terms is found to be unenforceable, that part is severed and the rest continues to apply.
What survives. Sections 5 (your data), 7 (our IP), 8 (limits), 9 (ending the agreement) and 10 (governing law) continue to apply after the agreement ends.
The whole agreement. These terms, the Privacy Policy and any Enterprise limits we agree with you in writing are the whole agreement between us about Nado, and replace anything said or written beforehand.
